Overview
Participants and session leaders will “workshop” together to
create a foundation for learning about Canadian share-based compensation. The
workshop is aimed primarily for lawyers and human resources professionals who
do not regularly advise on equity compensation. It is an introductory session,
intended to enhance understanding of equity compensation and related
cross-border issues.
Topics to be discussed:
- Basics on Equity Plan Design: Options,
RSUs, DSUs
- What’s Driving Equity Compensation?
- Taxation 101 – For non-tax lawyers
- Plan Design Challenges, including
performance vesting and clawbacks
- Including U.S. personnel in Canadian
share plans (and vice versa)
- Comparing typical Canadian and U.S.
equity compensation structures
The workshop is being held in Osler’s New York office on
March 20 from 12:00 to 2:30 p.m. The session will be of value to those
interested in an introduction to the essentials of stock-based compensation
design, including directors, investors, executives and human resources, tax or
legal professionals with compensation administration responsibilities,
especially on a cross-border basis.
