Richard’s practice focuses on banking, structured finance and public and private securitization. Richard is an expert in cross-border financing transactions.  He represents both borrowers and lenders in a variety of secured transactions and his range of experience includes numerous domestic commercial lending transactions, domestic and cross-border syndicated loan transactions and domestic and cross-border public and private asset securitizations. Richard is the first call choice for numerous U.S. and other international law firms on transactions involving Canadian loan parties or other Canadian specific issues.  Richard is a sought-after speaker in the areas of corporate lending, personal property security law and securitization.

  •  Acted for numerous financial institutions on domestic and cross-border financing transactions including: Bank of America, Bank of Montreal, Guggenheim Corporate Funding,JPMorgan Chase Bank, National Bank of Canada, NewStar Business Credit, Royal Bank of Canada, The Bank of Nova Scotia and Wells Fargo.
  • Lead counsel to Mitel Networks Corporation and its subsidiaries in connection with its cross-border secured credit facilities in an aggregate amount of U.S.$405 million, the proceeds of which were used in part towards the acquisition of Aastra Telecommunications.
  • Avis Budget Car Rental Group counsel on all Canadian financing transactions including their Canadian rental fleet securitization program and related Note Issuances.
  • Counsel to Dumas Contracting Ltd. in connection with its multi-jurisdictional credit facilities.
  • Canadian counsel to American Eagle Outfitters in connection with its cross-border, secured credit facility.
  • Canadian financing counsel to GROWMARK, INC.
  • Canadian counsel to American Tire Ltd. in connection with financing its acquisition of Hercules Tire.
  • Lead Canadian counsel to eOne in connection with financing its acquisition of Alliance Atlantis.
  • Lead Canadian Counsel to Axiall Corporation in connection with its $600 million ABL Credit Facility.
  • Winnipeg Jets - acted for shareholder in connection with financing arrangements for this NHL franchise.
