Biography

Jack practises in the areas of corporate, business and energy law. He has experience with all aspects of structuring, financing, management and operation of complex resource projects (both international and domestic) as well as restructurings, acquisitions and dispositions involving corporations, partnerships and governments. Jack clerked with the Honourable Mr. Justice Ronald Martland of the Supreme Court of Canada.

Notable Matters

  • Total E&P on the formation of a strategic oil sands alliance between Total E&P Canada Ltd. and Suncor Energy Inc. encompassing the Fort Hills mining project, the Joslyn mining project and the Voyageur upgrader project, and on the later disposition of its interest in the Voyageur Uprgrader project back to Suncor Energy Inc.
  • Apache Corp. on Canadian aspects of their US$3.2 billion acquisition of a partnership and corporation holding oil and gas exploration and production properties located in Western Canada, from BP Canada Energy.
  • ConocoPhillips on the agreement to sell their 9% interest in Syncrude for US$4.65 billion to subsidiaries of Sinopec International Petroleum Exploration and Production Company.
  • Hibernia Southern Extension, an offshore development project, on commercial arrangements and the arrangements with the Province of Newfoundland and Labrador on the fiscal regime, benefits and equity participation.
  • Hebron-Ben Nevis Development Project, an offshore development project having estimated capital costs in excess of $6 billion, on commercial arrangements and the arrangements with the Province of Newfoundland and Labrador on the fiscal regime, benefits and equity participation.
  • ConocoPhillips, on the formation, together with EnCana Corporation, of a North American heavy oil business consisting of two joint ventures, an upstream Canadian oil sands partnership and a downstream U.S. refining LLC.
  • Hibernia Development Project and Terra Nova Development Project on aspects of the Grand Banks Regional Transportation System.
  • Total E&P Canada Ltd. on the acquisition of interests in the Surmont Oil Sands Project and related joint operating and other arrangements.
  • Chevron Canada on the formation of Central Alberta Midstream Services, a partnership with BP Canada Energy Company for the provision of multi-facility midstream services in Alberta and on the disposition of its interest in the partnership.
  • Overseas Petroleum Corporation of Japan and Kanematsu Corporation on the Tangguh LNGProject in Indonesia, having estimated capital costs in excess of US$5 billion.
  • Terra Nova Development Project, an offshore oil development project having estimated pre-production development costs in excess of $2.8 billion.
  • Shell Canada Ltd. on aspects of the Athabasca Oilsands Project and on the acquisition and disposition of interests in Coral Energy L.P., and Coral Energy Canada Inc., as part of North American gas marketing and related arrangements with Shell Oil Corporation and Tejas Gas Corporation.
  • Hibernia Development Project, an offshore oil development project having estimated capital costs in excess of $8.2 billion.
