The $1.25-billion acquisition by San Francisco-based giant URS Corporation (an American construction behemoth) of Calgary-grown Flint Energy Services (an oil, oil sands and gas-producing energy company) is a textbook case of a deal unfolding just as it should. And while some may say that the stars aligned to make this deal a success, it was a combination of exceptional leadership from the top, outstanding board governance, strong communication lines, and stellar legal advisors – all doing their homework, working and reworking potential outcomes, conducting due diligence and strategic planning methodology - combined with the utmost respect for everyone involved. As Osler Partner Andrea Whyte says, “I never felt that there was anything that was going to hamper this deal. This deal really showed...that good leadership from the top makes all the difference in a transaction.”
Frank Turner, Partner and National Co-Chair of Osler’s Corporate Group, is pictured on the front cover of Lexpert’s September issue and is featured in this article along with Andrea Whyte, Partner, Corporate Group and Peter Glossop, Partner, Competition/Antitrust.
