Osler is pleased to announce that the firm has been recognized by the 2023 Canadian Law Awards in the category of Capital Markets Deal of the Year. These awards, presented by Lexpert, recognize Canada’s leading law firms, in-house legal teams, individuals and landmark deals that reflect excellence in the legal profession.
The firm received an Excellence Award for our work on the following “Deals of the Year”:
- Rogers Communications bond offering to finance the purchase of Shaw Communications (Capital Markets Deal of the Year)
- Osler acted as counsel to the agents/underwriters in connection with the largest corporate bond offering in Canadian corporate history which was undertaken by Rogers Communications Inc. (Rogers) to finance its acquisition of Shaw Communications Inc. (Shaw). Rogers issued $13.25 billion of senior notes through two private placement transactions undertaken concurrently in Canada and the United States: $4.25 billion in senior notes allocated across four series and US$7.05 billion in senior notes allocated across five series. The U.S. component of the offering was largest U.S. dollar issuance by a Canadian corporate issuer in US market history. Osler’s deal team was led by Michael Innes.
- After closing the bond offerings, Rogers obtained the consent of bondholders to extend the outside date specified by the bond terms for closing the Shaw acquisition, for which it paid approximately $0.8 billion.
