On July 20, 2026, Brookfield, through its private equity business, agreed to acquire Gregg Distributors (Gregg or the company), a leading industrial maintenance, repair and operations (MRO) distributor, for an enterprise value of approximately $1.6 billion. The company is currently owned by the Gary Gregg family and its employees, who will retain a meaningful ownership stake in the business as part of the transaction. The transaction is expected to close by the end of 2026, subject to customary closing conditions and regulatory approvals.

Gregg is a leading Canadian industrial MRO distributor, founded in 1968 and headquartered in Edmonton, Alberta, serving a diversified base of industrial customers across Western Canada. As a market leader with more than 58 years of operating history, Gregg has established a differentiated market position through its broad product offering, rapid fulfillment capabilities and high-touch customer service model, enabling it to serve mission-critical customer needs.

Osler is working together with long-time corporate counsel to Gregg on this transaction with a team consisting of Brad Newby, Fraser Love, Rohan Gupta, Jenna Aljarrah (Corporate), Kim Maguire, Emily Gilmour, James Trougakos, Rachel Berger-Viflanzoff (Tax), Shuli Rodal, Zachary Rudge (Competition), Katy Allen and Briana MacEachern (Employment and Labour), and Adam LaRoche and Erika Romanow (Privacy and Data Management).
