On January 23, 2023, WeCommerce Holdings announced that it had entered into a definitive agreement to combine with Tiny Capital. Through this agreement, WeCommerce and Tiny will combine their businesses in an all-share transaction with an estimated combined value of $962 million.

WeCommerce Holdings focuses on building, acquiring and investing in leading businesses within the Shopify ecosystem.

Tiny Capital is a leading technology holding company founded by Andrew Wilkinson and Chris Sparling with a track record of strong organic growth and a long-term strategy of acquiring majority ownership interests in businesses. Tiny has acquired over 30 companies since 2016 and has self-funded its growth since inception without raising any equity capital. Tiny founded WeCommerce and remains its largest shareholder.

Osler, Hoskin & Harcourt LLP advised WeCommerce Holdings with a team consisting of Trevor Scott, Minji Park, Natalie Holtby, Sylvie Vallee (Corporate), Kaeleigh Kuzma, Michelle Lally (Competition/Antitrust & Foreign Investment) and Kim Maguire (Tax).
