Overview

The APFF annual conference is a unique event! Its main objective is to best serve the interests of professionals by optimizing their opportunities for networking and exchanges, and the quality of lectures.

Alain Fournier will give an update of the key tax considerations relating to earnout clauses in a transactional context and recent administrative positions of tax authorities on this subject.

François Auger and Marc Richardson Arnould will address the issue of the establishment of venture capital funds in the wake of the economic crisis of 2008 in light of legislative changes, the stance of the Canada Revenue Agency and Revenu Québec regarding the regulation to which the funds are subject, as well as the practical problems raised by the sponsors’ more conservative approach in relation to the remuneration of fund managers.

Manon Thivierge will discuss the purchase of a US company by Canadian interests through a transparent entity in the United States; the purchase and the start of a Canadian business by American interests through a transparent entity in Canada, as well as provisions of the Canada-United States Tax Treaty concerning transparent entities, etc.
