On July 27, 2017, Mitel Networks Corporation ("Mitel") and ShoreTel, Inc. ("ShoreTel") announced that they have entered into a definitive merger agreement in which Mitel will acquire all of the outstanding shares of ShoreTel common stock for a total equity value of approximately US$530 million.

BMO Capital Markets is leading the new term loan facility with Citizens Bank, N.A., HSBC Bank Canada and CIBC serving as Joint Lead Arrangers and Joint Bookrunners.

Mitel is a telecommunications company that provides business communications and collaboration software, services, and solutions in the Americas, Europe, the Middle East, Africa, and the Asia-Pacific regions. Mitel operates through Cloud and Enterprise segments.

ShoreTel is also a telecommunications company that provides business communication solutions for small and medium sized businesses. ShoreTel offers integrated voice, video, data, and mobile applications based on Internet protocol technologies.
