Maria Rua

Maria aids in the maintenance of corporate records by: preparing annual resolutions, resolutions approving changes to directors/officers and authorizing transactions entered into by the corporations; preparing annual and extra-provincial returns and notices of change required in each Canadian jurisdiction; communications regarding requirements of updating records and obtaining information required to prepare necessary documents and government forms; conducting due diligence review of corporate records in connection with acquisition, financing and other related transactions, identifying deficiencies and preparing remedial resolutions and documents required to update government records; preparation of articles of: incorporation/letters patent, amendment/supplementary letters patent, dissolution and amalgamation, by-laws, extra-provincial registrations, annual returns, notices of change and agreements; and preparation of registration forms for limited partnerships, general partnerships and business names for various provincial jurisdictions in Canada.
