Now more than ever, boards are under pressure from legislators, regulators, key stakeholders and the media to improve their diversity disclosure practices as the corporate governance landscape in Canada continues to evolve. In 2020, the diversity discussion blossomed, with continued, slow growth in the advancement of women accompanied by an expanded focus into other facets of diversity. Yet, despite the fact that increasing board diversity in corporate leadership roles continues to be a key focus, a diversity gap persists in many boardrooms and more work needs to be done at the board level, as revealed by Osler’s sixth annual comprehensive report, 2020 Diversity Disclosure Practices: Diversity and leadership at Canadian public companies [PDF].
In January 2020, new diversity disclosure requirements under the Canada Business Corporations Act broadened the range of corporations required to provide disclosure regarding women in leadership positions and added new requirements for disclosure regarding visible minorities, Aboriginal peoples and persons with disabilities. Faced with mandated disclosure under securities laws regarding the representation of women on boards and in executive officer positions, more businesses in Canada will need to focus on committing to diversity disclosure and investing in diversifying their boards and senior management.
In addition to complying with board diversity disclosure requirements, there are other incentives for companies to invest in diversity. Institutional shareholders are stepping up to express support for increased diversity among the companies in which they invest, and outlining the actions they will take if companies fail to demonstrate tangible progress on improving gender diversity on boards of directors.
