Dan practises in the areas of securities, capital markets and corporate law, including public and private equity and debt financings, mergers and acquisitions, and advising boards of directors on all corporate governance matters.

He has advised clients on both friendly and hostile take- overs and on plans of arrangement including conversions to income trusts. Dan has advised various companies and underwriters on the requirements for public financings and stock exchange listings and prepared financing documents for public and private offerings. He has prepared public-offering documents in connection with offerings of securities in the United States through the multi-jurisdictional disclosure system.

    • Husky Energy Inc. in its proposed acquisition of MEG Energy Corp. for C$6.4 billion.
    • TC Energy in the sale of its Ontario solar portfolio to Axium Infinity Solar LP for approximately C$540 million.
    • TransAlta Corporation in its successful defense of the complaint of Mangrove Partners and Bluescape Energy Partners LLC to the Alberta Securities Commission and the Ontario Securities Commission pertaining to TransAlta’s investment and strategic partnership agreement with Brookfield BRP Holdings (Canada) Inc.
    • BMO Capital Markets, RBC Capital Markets and Scotia Capital Inc. in the C$400 million senior notes offering completed by Canadian Pacific Railway Company.
    • Husky Energy Inc. in its acquisition of Superior Refinery for US$435 million.
    • The Independent Committee of the Board of Husky Energy Inc. in the disposition of an interest in midstream assets for C$1.7 billion.
    • Special Committee of the Board of Directors of Trimac Transportation Ltd. in connection with its privatization.
    • Counsel for Husky Energy Inc. on several public debt financings and equity offerings in the US and Canada, including a US$750-million debt financing (2019), a C$750-million debt financing (2017), a US$1.5-billion debt financing (2009),a C$1-billion common share offering (2010), a C$1.2-billion common share offering (2011) and C$900-million of cumulative redeemable preferred share offerings (2011 -2015).
    • Counsel for CanElson Drilling Inc. on its C$505-million merger with Trinidad Drilling Ltd.
    • Counsel for Calvalley Petroleum Inc. for its liquidation and dissolution by way of plan of arrangement.
    • Canadian counsel for Precision Drilling Corporation for its US public offering of common shares and New York Stock Exchange listing and for a US$300-million public debt financing in the US; also counsel to Precision Drilling Corporation on friendly and hostile take-over bids, and on its conversion to an income trust.
    • Counsel to Husky Oil Limited on its C$4.2-billion merger with Renaissance Energy Inc. to create Husky Energy Inc. as a new public company.
    • Counsel to Husky Energy Inc. on its US$588-million acquisition of Marathon Canada Limited and subsequent US$320-million sale of certain of the assets acquired to EOG Resources Canada Inc.
    • Counsel to Producers Oilfield Services Inc. on its acquisition by Mullen Group Income Fund and spin-out of Horizon North Logistics Inc.
    • Counsel to Western Lakota Energy Services Inc. on its C$1.2-billion merger with Savanna Energy Services Corp.
    • Counsel to Husky Energy Inc. on the US$11.7-billion formation with BP plc of two joint venture entities forming an integrated oil sands business and a refining joint venture.
    • Counsel to CanElson Drilling Inc. on its C$68-million acquisition of Eagle Drilling Services Ltd. and $134 million of common share offerings.
    • Counsel to Sure Energy Inc. on its concurrent subscription receipts financing and acquisition by Tamarack Valley Energy Ltd.
    • Counsel to issuer on initial public offerings by TGS North American Real Estate Investment Trust and Northern Property Real Estate Investment Trust.
