Darian specializes in tax litigation and dispute resolution and has experience with matters involving:           

income versus capital gains characterization

denial of business expenditures and losses

the general anti-avoidance rule (GAAR)

derivative tax liabilities

rectification of contracts

denial of scientific research & experimental development (SR&ED) claims

interest deductibility

income splitting/attribution

employee compensation and stock options

denial of personal tax benefits

Clients that Darian works with include Canadian and non-resident corporations, partnerships, non-profit organizations, and individuals with ties to a variety of sectors including energy, financial services, entertainment, technology, and real estate.

Darian regularly deals with Canada Revenue Agency and provincial tax authorities at the audit and objection stages to find timely and discreet solutions to clients’ tax issues.

Darian has experience at all stages of the tax litigation process including:           

drafting pleadings

document discovery

oral and written examinations for discovery

legal research and drafting memoranda

drafting motions for procedural relief

formal settlement of appeals

Darian has appeared in and made written submissions to the Tax Court of Canada and the Alberta Court of Queen’s Bench. He has also made written submissions to the Alberta Court of  Appeal.

In addition to resolving disputes with tax authorities, Darian maintains a transactional tax practice, advising clients on:

mergers and acquisitions

material tax disclosure for reporting issuers

eligibility for investment in registered plans

asset and share purchase and sale agreements

employee compensation and stock options

registered charity and non-profit status

trust and estate planning

residency and withholding tax

excise tax (GST/HST)

tax planning for private corporations

Darian has a background in commercial litigation and arbitration, and in his spare time he enjoys assisting with pro bono matters in the tax and non-tax context.

Prior to joining Osler, Darian worked at a large, full-service law firm where his practice focused on transactional tax work for domestic and international clients primarily in the energy sector. Darian also served as a law clerk to the Honourable Madame Justice Myra Bielby of the Alberta Court of Appeal.

Darian enjoys learning languages and is conversationally proficient in French, German, Italian and Spanish.
