Matthew’s practice includes advising advising on procurement, technology contracting, and other commercial matters with a focus on outsourcing, licensing, and complex services arrangements.

Prior to joining the firm, Matthew volunteered with the U.S. Peace Corps in Western Africa and worked for a Fortune 500 airline company in the United States.

    • Magna International Inc. in the sale of its global fluid pressures and controls business to South Korean automotive parts maker Hanon Systems for US$1.23 billion.
    • Structuring and negotiation of a joint venture for a cryptocurrency brokerage and cryptocurrency indices.
    • Acting for a major Canadian corporation in the procurement of advanced analytics services.
    • Acting for a major Canadian corporation in the procurement of enterprise-wide IT outsourcing services.
    • Acting for a major multinational bank in the procurement of business process outsourcing services.
    • Acting for a mid-size technology services provider in the procurement of IT support services for a multinational energy company.
    • Assisting a major transportation company in the procurement of a computer-aided dispatch and vehicle location system.
    • Assisting a major pension fund in the review and negotiation of services agreements and data license agreements.
    • Acting for numerous emerging technology companies in the development and negotiation of software-as-a-service (SaaS) agreements, consulting and development agreements, licensing agreements and website terms of use.
    • Acting for numerous customers in the negotiation of services agreements, SaaS agreements, development and consulting agreements, and other commercial agreements.
    • Assisting with the development of transitional service agreements for large Canadian and international M&A transactions.
    • Assisting a leading global professional services company with the acquisition of all of the assets of a Canadian insurance company.
    • Assisting with U.S. corporate, banking and securities transactions as part of a secondment at Osler’s New York office.
