James is an associate in the Tax Group of our Vancouver office. His practice focuses on the tax aspects of mergers and acquisitions, corporate financings and reorganizations, compensation of directors and officers, and high-net-worth planning matters.
Prior to joining Osler, James was an associate at another leading corporate law firm and worked at a tax boutique specializing in tax planning for high-net-worth individuals and families.
Representative Work
Prior to joining Osler:
- BELLUS Health Inc., in connection with its US$2-billion sale to GSK plc.
- Birch Hill Equity Partners, in connection with its joint acquisition and related financing of Polycor Inc. alongside Investissement Québec.
- Logiciels Metrio Inc., in connection with its sale to Nasdaq, Inc.
- Axium Infrastructure Inc., in connection with the acquisition of a 49% interest in a Canadian wind power portfolio from the Canada Pension Plan Investment Board.
- Sprott Resource Lending Corp., in connection with a US$105 million resource financing for Ascot Resources Ltd.
- A high-net-worth individual, in connection with Tax Court of Canada proceedings involving foreign exchange forward contracts and “straddle” trading.
- Colonel J.G. Guy Simard(retired) and other taxpayers, in connection with representative Tax Court of Canada proceedings involving the deductibility of losses under the “Synergy Program”. The appeals served as de facto representative cases for approximately 4000 other taxpayers who contested potentially over two hundred million dollars in tax deductions.
