Ryan carries on a broad commercial practice with a principal focus on franchising and distribution.

For his commercial clients, Ryan advises on all contractual matters in a supply and distribution chain, including drafting and negotiating manufacturing agreements, supply agreements, distribution agreements, reseller agreements, licensing agreements, and services agreements. Ryan also works with his clients to address various business-critical issues related to, among other things, consumer protection, motor vehicle regulation, and advertising, marketing, and promotion.

For his franchisor clients, Ryan provides advice for all stages of development on matters relating to the maintenance and expansion of franchise systems, and regularly prepares franchise agreements, disclosure documents, and ancillary agreements for use across Canada’s ever-changing regulatory landscape. Ryan also advises franchisors on strategic issues related to the default and termination of franchise relationships and has expertise in preparing notices of default and termination, managing the termination process, and providing related litigation support.
