Jesse is an associate in the Corporate Group of our Calgary office. Jesse’s practice focuses on private M&A, joint ventures, project development and long-term commercial agreements in Canada’s energy sector.
Jesse represents upstream producers, midstream operators and project developers in structuring and negotiating transactions across the energy sector value chain, including midstream and downstream facilities, conventional and unconventional oil and gas development, carbon capture, energy transition and renewables.
Representative Work
Prior to joining Osler:
- Vermilion Energy: Advising on the acquisition of Westbrick Energy Ltd. for CA$1.075 billion via Plan of Arrangement.
- Capital Power Corporation: Advising Capital Power Corporation on the $340 million sale of a 49% interest in a 246 MW wind power portfolio, including the Quality Wind Project in British Columbia and the Port Dover and Nanticoke Wind Project in Ontario, to a fund managed by Axium Infrastructure.
- Enbridge Inc.:Advising with respect to aspects of the establishment of Seven Stars Energy, a 200MW wind project to be constructed in the Province of Saskatchewan in partnership with a consortium of First Nation communities and Métis people.
- Enbridge Inc.: Advising Enbridge in respect of the C$400 million acquisition of Aitken Creek gas natural gas storage facilities.
- Cenovus: Advised Cenovus on its investment in the Duvernay area through the formation of Duvernay Energy Corp, a joint venture with Athabasca Oil Corp.
- Cenovus: Advising in connection with the sale of its Marten Hills Assets to Headwater Exploration Inc. in exchange for CA$100 million paid by combination of cash and public market securities in the purchaser.
- Saturn Oil & Gas Inc.: Advised with respect to its transformational CA$525 million asset acquisition from Veren Inc.
- PACE Canada LP: Advising a partnership of GOLDBECK SOLAR Investment. and Pathfinder Clean Energy (PACE) with respect to its divestiture of the Joffre solar project (Alberta) to Concord Green Energy.
- BP: Advised in connection with the sale of BP’s 50% interest in the Sunrise Oilsands project to Cenovus for $600 million in cash and a contingent payment of as much as $600 million. As part of the transaction, BP also acquired Cenovus’ 35% interest in the Bay du Nord oil project off Newfoundland and Labrador.
- Parkland Corporation: Advising on the acquisition of 163 Husky and Esso retail locations across Canada.
