Michael is counsel in Osler’s Corporate Group. His practice is primarily in the areas of corporate and securities law, with a focus on capital market transactions including mergers and acquisitions, public offerings, private placements and corporate reorganizations.
Michael offers guidance to Canadian and international clients on issues related to securities regulatory compliance, stock exchange matters, continuous disclosure obligations, directors’ liability, corporate governance and general corporate law to both public and private companies.
Prior to joining Osler, Michael was counsel at another leading national law firm.

Prior to joining Osler:
- Canada Growth Fund in its C$156m strategic investment in Foran Mining Corporation.
- Orezone Gold Corporation in its C$40m bought deal offering and C$8.8m strategic private placement.
- Westgold Resources Limited, as Canadian counsel, in its C$1.2B acquisition of Karora Resources Inc. by way of plan of arrangement and concurrent listing on the TSX.
- Kensington Capital Partners in a strategic investment in one of its portfolio companies, Element5 Limited Partnership by the Hasslacher Group.
- Copley Equity Partners in its acquisition of Trition Environmental Consultants Ltd.
- Mogo Inc. in its all-stock acquisition of Carta Worldwide by plan of arrangement for approximately C$54.8m.
- Counsel to a medical technology company that listed on the TSXV by completing an RTO and concurrent financing by way of plan of arrangement.
- Renaissance Gold Inc. in its merger of equals by way of a plan of arrangement with Evrim Resources Corp.
