On October 16, 2018, Brookfield Infrastructure and its institutional partners completed a plan of arrangement pursuant to which Brookfield acquired all the issued and outstanding common shares of Enercare in a transaction valued at $4.3 billion.

With this acquisition, Brookfield Infrastructure Partners LP will be able to strengthen its operations and expand its presence in the utility, home building and multi-residential sectors across Canada and the US.

Brookfield Asset Management Inc. is a global alternative asset manager with approximately $285 billion of assets under management, focusing on real estate, renewable power, infrastructure and private equity.

Enercare is one of North America’s largest home and commercial services companies and provides residential energy infrastructure, as well as other essential home services to approximately 1.6 million customers.

Osler, Hoskin and Harcourt LLP acted for one of Canada’s largest pension investment managers, in connection with the equity co-investment that supported the funding of the acquisition. Osler’s deal team included John Groenewegen (Corporate), Sébastien Savage (M&A) and Jack Silverson (Tax).
