On February 1, 2016, COM DEV International Ltd., a leading manufacturer of space hardware subsystems, completed an arrangement agreement with a subsidiary of Honeywell International Inc., pursuant to which Honeywell would acquire all of COM DEV’s issued and outstanding common shares. In connection with the arrangement, COM DEV will spin off its 73% interest in exactEarth Ltd. to its shareholders. This transaction delivers value creation to COM DEV shareholders and ensures that COM DEV's business continue under strong new ownership.
Osler acted as counsel to the Special Committee of the Board of Directors of COM DEV with a team that included Doug Bryce (Corporate), James Brown (Corporate), Shuli Rodal (Competition) and Amanda Heale (Tax).
