Andrew’s practice covers many areas of corporate and securities law, with an emphasis on investment funds, private equity funds, corporate finance and financial institutions work.
He is a trusted adviser and has extensive fund formation and capital raising experience both in the public and private funds space, including advising on multiple landmark deals and first-of-its-kind structures. He also specializes in mergers and acquisitions for financial services firms and in investment fund mergers and restructurings.
Andrew is recognized in numerous publications, including by Chambers Canada: Canada’s Leading Lawyers for Business: Investment Funds (Band 1), and Investment Funds: Fund Formation.
Representative Work
- Acted for Purpose Unlimited Inc. and Purpose Investments Inc. on the acquisition of Steadyhand Investment Management Ltd. and Steadyhand Investment Funds Inc.
- Acted for Purpose Investments Inc. on the initial public offerings of Purpose’s Solana and Ripple ETFs and its U.S. and Canadian Yield Shares products.
- Acted on behalf of a syndicate of investment dealers led by TD Securities Inc. and National Bank Financial Inc. in connection with a follow on offering of exchange-traded receipts under the Royal Canadian Mint’s Gold Reserves Program in September 2025.
- Acted on behalf of a syndicate of investment dealers led by Scotia Capital Inc. in connection with a bought deal of U.S. $100 million of Series 16 Class AA Preferred Shares of Partners Value Split Corp. in September 2025.
- Acted on behalf of several closed end investment funds and investment dealers in connection with several prospectus “at the market” distributions.
