Mauryah McLaughlin is an accomplished mergers and acquisitions lawyer with a track record of leading complex, high-value transactions both in Canada and internationally. With deep strategic insight, she guides clients through every phase of a deal — from structuring and negotiation to closing — bringing clarity, efficiency, and confidence to clients who value the results produced from her leadership style.
While being seated in Calgary has given Mauryah a robust presence in the energy sector (upstream and midstream oil and gas and renewables, and energy infrastructure), her true value to clients is an M&A skillset that is agnostic to industry. Mauryah is equally adept leading transactions in health care, real estate / land assets, senior living, technology, and hospitality. She manages cross-border, multi-jurisdictional transactions as lead counsel, working with global deal teams to align legal, commercial and regulatory dimensions.
Known for her leadership on complex matters, Mauryah combines commercial acumen, a disciplined project management approach, and a collaborative negotiation style to bring value to transactions. Her clients benefit from her ability to anticipate issues, craft creative solutions under pressure, and drive towards smooth, timely closings without sacrificing structure or protection.
Representative Work
Prior to joining Osler:
- Vermilion Energy: Co-lead counsel to Vermilion on the acquisition of Westbrick Energy Ltd. for C$1.075 billion via Plan of Arrangement.
- United Active Living: Represented the company in the acquisition of three senior living homes in the Calgary area.
- Mattr Corp.: Lead counsel in connection with its acquisition of U.S. company, AmerCable Incorporated, for US$280 million.
- Enbridge Inc.: Advised on aspects of the establishment of Seven Stars Energy, a 200MW wind project to be constructed in Saskatchewan in partnership with a consortium of First Nation communities and Métis people.
- PACE Canada LP: Advised a partnership of GOLDBECK SOLAR Investment. and Pathfinder Clean Energy (PACE) with respect to its divestiture of the Joffre solar project (Alberta) to Concord Green Energy.
- Cenovus Energy: Advised Cenovus on its investment in the Duvernay area through the formation of Duvernay Energy Corp, a joint venture with Athabasca Oil Corp.
- Axium Infrastructure Fund: Counsel to Axium in respect of an acquisition of long-term care facilities coast-to-coast across Canada, adding more than 1,200 beds to its portfolio.
- MATTR Infratech: Advised on the sale of MATTR’s global pipe-coating business for C$225 million.
- Enbridge Inc.: Counsel to Enbridge in respect of the C$400 million acquisition of Aitken Creek gas natural gas storage facilities.
- Keyera: Advised Keyera in its acquisition of an additional 21% working interest in the Keyera Fort Saskatchewan complex from Plains Midstream Canada, for total cash consideration of $365 million.
- Meritage Midstream: Advised Meritage Midstream ULC on the sale of its Canadian midstream business to SemCams for sale proceeds of $600 million.
- Enbridge: Advised the company on the sale of its gas distribution business in New Brunswick to Algonquin Power for $331 million.
- Cenovus Energy: Advised in connection with the sale of its Marten Hills Assets to Headwater Exploration Inc. in exchange for C$100 million paid by combination of cash and public market securities in the purchaser.
- Various clients: Advise on the acquisition and/or sale of individual hotels and hotel portfolios.
