During this webinar, our insolvency and restructuring professionals will discuss reverse vesting orders, a novel tool recently recognized by courts across the country, including when its use was contested.

Reverse vesting orders add to standard vesting orders and plans of arrangement as restructuring tools available under the Companies’ Creditors Arrangement Act. They allow for the transfer of liabilities out of the debtor company into a newly formed entity, generally prior to the transfer of the shares of the existing debtor company to a purchaser. As a result, the purchaser acquires a business free of certain liabilities, but with all the previous licenses, authorizations and tax attributes, the whole without the need of a creditor vote.
