Kellesha is a Counsel in Osler’s Technology Group. Kellesha’s practice concentrates on supporting the commercial contracting needs of emerging and high-growth companies (EHGC) clients in a broad range of industries and sectors.
Kellesha routinely helps EHGC clients on various commercial and contractual needs, including software-as-a-service agreements, software licensing agreements, hardware sale terms, platform services agreements, IT development agreements, service-provider arrangements, referral arrangements, reseller arrangements, OEM arrangements; teaming agreements, subcontractor agreements, data agreements, procurement, and technology contracting risk allocation issues.
She was in house legal counsel in the technology group of a major Canadian bank and brings with her over a decade of experience in financial services, technology, corporate and commercial law focusing on procurement and technology contract drafting and negotiation. That experience has fostered Kellesha’s deep understanding of what enterprise clients expect from technology providers, pain points and key priorities.
Kellesha enjoys assisting EHGC companies with solving business-critical commercial problems, including those related to commercializing their products and services. Through Osler TechSure™ , Kellesha is able to prepare or negotiate technology agreements with greater efficiency and predictable costs for EHGC clients. Kellesha also has a particular passion and focus on supporting EHGC companies with evolving and implementing their IP Strategy and AI Strategy.

- Negotiated strategic cloud SaaS arrangements between a major Canadian bank and technology providers for software, technology services, cloud solutions, cybersecurity solutions and IT system implementations.
- Advised on projects related to procurement process improvement, contract template tools and resources.
- Advised enterprise executives to successful navigate negotiations on risk allocations provisions in technology contracts such as usage rights, pricing, license scope, IP indemnity, warranties and limitation of liability.
- Negotiated red teaming and cybersecurity simulations assessment customer programs and other customer services contracts with big four consulting firms.
- Negotiated a contract for licensing of a compliance monitoring SaaS application for the capital market operations of a major Canadian bank.
- Negotiated various licensing and SaaS services arrangements on behalf of major financial institution related to account and collateral management.
- Negotiated a major outsourcing of customer experience management services for a major Canadian bank to increase customer engagement and capitalize on new business opportunities.
- Legal project lead on projects related to enterprise Information Security standards; and CDIC resolution planning compliance.
