On February 6, 2026, Bitfarms Ltd. (Bitfarms) announced that its board of directors approved a plan of arrangement pursuant to which Bitfarms will redomicile from Canada to the United States, subject to the receipt of shareholder, stock exchange and court approvals. This transition will allow for Bitfarms to access new sources of capital, increase its eligibility for index inclusion and simplify its story for U.S. investors. Upon completion of the re-domiciliation, Bitfarms will operate under the new name “Keel Infrastructure Corp.”.

Bitfarms is a North American digital infrastructure and energy company that builds and operates vertically integrated, state-of-the-art data centers and energy infrastructure for high-performance computing.

Osler, Hoskin & Harcourt LLP advised Bitfarms with a team consisting of Emmanuel Pressman, Rosalind Hunter, Kai Sheffield, Lynne Lacoursière, Neil Rosen, Matthew Erdman, Cayley Kavanagh, Yun Kang, Tatyana Gudge (Corporate), Craig Lockwood, Lauren Harper, Tamara Kljakic (Litigation), Patrick Marley, Alina Tamm, Anna Li (Tax) and Nathan Wolgelerenter (articling student).
