Ted’s practice focuses on corporate and commercial matters relating to technology. Ted has acted for clients in connection with mergers and acquisitions, private equity and venture capital financing, privacy and consumer protection matters, and outsourcing, procurement and licensing of technology products and services.

    Outsourcing, Offshoring & Procurement

    Ted has recently represented, in outsourcing and offshoring deals:

    • A major Canadian bank in the procurement of call centre services.
    • A major Canadian bank in the procurement of telecommunications and network services and related technology.
    • A major Canadian bank in the licensing and enhancement of a hosted risk management solution.
    • A major Canadian bank in the outsourcing of its print and insertion business.
    • A major Canadian bank in the outsourcing of its back office document management process.
    • A major utility in the implementation of its customer information system.
    • A new Canadian retail banking the development, license and support of the various components of its retail banking platform.
    • A leading food retailer in its multi-vendor procurement of information technology services.
    • A food services company in the implementation of a payment processing system and store value card program.

    Mergers and Acquisitions & Privacy Equity and Venture Capital Financing Transactions

    In addition, recent M&A transactions and private equity and venture capital financing transactions in which Ted has been involved include:

    • Acting for a technology company in its $50 million equity financing transaction.
    • Acting for a private Canadian technology company that was sold to a California based public company.
    • Acting for a technology company in its $20 million equity and debt financing transaction.
    • Acting for a private Canadian technology company that was sold to a multi-national public tech company.
    • Acting for a private Canadian technology company that acquired real estate software and other assets of another private Canadian technology company.
    • Acting for a private Canadian technology company that acquired all of the issued and outstanding shares of a private U.S. company, as well as certain software assets of a public U.S. company.
